FURTHER RESOLVED, that by Article 57-A:

a) Only those records will be disposed of that are described in the Record Retention and Disposition Schedule LGS-1 after they have met the minimum periods described therein.
b) Only those records will be disposed of that do not have sufficient administrative, fiscal, legal, or historical value for retention beyond established legal minimum periods.

GENERAL MEETING PROCEDURES:
● The Mayor presides over meetings of the Board of Trustees and sets the agenda for each meeting.
● If the Mayor is absent, the Deputy Mayor may preside over meetings of the Board of Trustees and/or appoint a Trustee to preside in their place.
● A quorum will consist of three members of the Board of Trustees.
● To have a resolution approved, it must be entered, seconded, and voted on with a majority of the votes.
● Every meeting of the Board of Trustees must be open to the public.
● All meetings will be recorded both in video and audio.

Special Meetings
● Special Meetings of the Board of Trustees refer to all Board Meetings other than regular meetings.
● A special meeting may be called by the Mayor or any Trustee upon notice to the entire Board.
● Notice may be given to Board members by telephone, in person, email, or in writing at least 72 hours in advance unless an emergency exists.
● Notice to the public will be provided on the Village Website, posted in the lobbies of the Menands Police Department and the Village Office. It will also be sent by Everbridge and posted to social media.
● At Workshops and Special Meetings, the public may attend but cannot comment unless recognized by the Mayor or presiding officer.

Public Hearings:

● Notice to the public on the Village Website, Times Union Legal Section, posted in the lobbies of the Menands Police Department and the Village Office, at least seven days before the meeting. It will also be posted on social media.
● The presiding officer must open the Public Hearing.
● The Clerk must read the Notice of the Public Hearing.
● The public must be allowed to comment only on the topic of the Public Hearing.
● The presiding officer must close the Public Hearing.
● No vote may be taken during the Public Hearing.

Other procedures:
● Executive Session is not open to the General Public.
● Videoconferencing must provide an opportunity for the public to attend, listen, observe, and participate in the meeting.
● Notice of the meetings and agendas will be available on the Village Website and posted in the lobbies of the Menands Police Department and the Village Office.
● Public Comments:
o Comments of any length may be provided to the Village Clerk.
o The public may only speak during the Public Comment period.
o The presiding officer must recognize speakers.
o Speakers must limit their remarks to 3 minutes.
o All remarks must be addressed to the Board as a body and not to individual Board Members.

Mayor Marsh requested approval of the Village of Menands Procurement Policy.

Trustee Neuman offered the following resolution and moved its adoption:

PROCUREMENT POLICY FOR THE VILLAGE OF MENANDS

1. Every purchase must be initially reviewed to determine whether it is a purchase contract or a public works contract. Once that determination is made, a good-faith effort will be made to decide whether or not it is known or can reasonably be expected that the aggregate amount to be spent on the item of supply or service is not subject to competitive bidding, considering past purchases and the competitive amount to be paid each year. The following items are not subject to competitive bidding according to Section 103 of the General Municipal Law: purchase contracts under $20,000 and public works contracts under $35,000; emergency purchases; certain municipal hospital purchases; goods purchased from agencies for the blind or severely handicapped; goods purchased from correctional institutions; purchases under State and county contracts; and surplus and second-hand purchases from another governmental entity.
The decision that a purchase is not subject to competitive bidding will be documented in writing by the individual making the purchase. This documentation may include written or verbal quotes from vendors, a memo from the purchaser indicating how the decision was arrived at, a copy of the contract indicating the source that makes the item or service exempt, a memo from the purchaser detailing the circumstances that led to an emergency purchase, or any other written documentation that is appropriate.
2. All goods and services will be secured by the use of written requests for proposals, written quotations, verbal quotations, or any other method that assures that goods will be purchased at the lowest price and that favoritism will be avoided, except in the following circumstances: purchase contracts over $20,000 and public works contract over $35,000; goods purchased from agencies for the blind or severely handicapped according to Section 175-b of the State Finance Law; goods purchased from correctional institutions according to Section 186 of the Correction Law; purchases under State contracts according to Section 104 of the General Municipal Law; purchases under county contacts according to Section 103(3) of the General Municipal Law; or purchases according to subdivision 6 of this policy:

A good-faith effort shall be made to obtain the required number of proposals or quotations. If the purchaser is unable to obtain the required number of proposals or quotations, they will document the attempt made to obtain them. In no event shall the failure to obtain the proposals be a bar to the procurement.
4. Documentation is required for each action taken in connection with each procurement.
5. Documentation and an explanation are required whenever a contract is awarded to someone other than the lowest responsible offeror. This documentation will include an explanation of how the award will achieve savings or how the offer was not responsible. The purchaser shall decide that the offer is not responsible and may not be challenged under any circumstances.

6. According to General Municipal Law Section 104-b(2)(f), the procurement policy may contain circumstances when, or types of procurements for which, in the sole discretion of the governing body, the solicitation of alternative proposals or quotations will not be in the best interest of the municipality. In the following circumstances, it may not be in the best interests of the Village of Menands to solicit quotations or document the basis for not accepting the lowest bid:
a. Professional services or services requiring special or technical skill, training, or expertise. The individual or company must be chosen based on accountability, reliability, responsibility, skill, education and training, judgment, integrity, and moral worth. These qualifications are not necessarily found in the individual or company that offers the lowest price, and the nature of these services does not readily lend itself to competitive procurement procedures.
In determining whether a service fits into this category, the Board of Trustees shall take into consideration the following guidelines: (a) whether the services are subject to State licensing or testing requirements; (b) whether substantial formal education or training is a prerequisite to the performance of the services; and (c) whether the services require a personal relationship between the individual and municipal officials. Professional or technical services shall include but not be limited to the following: services of an attorney; services of a physician; technical services of an engineer engaged to prepare plans, maps, and estimates; securing insurance coverage and/or services of an insurance broker; services of a certified public accountant; investment management services; printing services involving extensive writing, editing or artwork; management of the municipally owned property; and computer software or programming services for customized programs, or services involved in substantial modification and customizing of pre-packaged software.
b. Emergency purchases pursuant to Section 103(4) of the General Municipal Law. Due to the nature of this exception, these goods or services must be purchased immediately, and seeking alternate proposals may threaten the life, health, safety, or welfare of the residents. This section does not preclude alternate proposals if time permits.
c. Purchases of surplus and second-hand goods from any source. If alternate proposals are required, the Village is precluded from purchasing surplus and second-hand goods at auctions or through specific advertised sources where the best prices are usually obtained. It is also challenging to compare prices of used goods, and a lower price may indicate an older product.
d. Goods or services under $2,500. The time and documentation required to purchase under this policy may be more costly than the item itself and, therefore, would not be in the best interests of the taxpayer. Additionally, it is unlikely that such de minimis contracts would be awarded on the basis of favoritism.
7. To ensure that this policy and budgets are being implemented, Village Department heads are required to meet with the Village treasurer at least quarterly.
8. The Village Board hereby adopts, by resolution and according to GML 103(5), that for reasons of efficiency and economy, there is a need for standardization, and upon adoption of a resolution for a particular type or kind of equipment, material, or supplies, the contract may not necessarily be awarded to the lowest responsible bidder.
9. Will be reviewed annually.

Fire Chief David Ognan advised the Board that Due to the loss of existing apparatus, the fire department requested the purchase of a stock demo fire engine for $984,153.34. The Chief advised the Board that the apparatus is in production will be available in approximately 3-4 Months. If the Board doesn’t act on this apparatus this apparatus could be sold and the Village would have to wait up to a year to purchase another one at a higher price. Discussion followed.

Mayor Marsh led a discussion regarding the change orders for the South End Project to be paid for with a grant from Congressman Tonko. Change Order No. 2 consists of additional work to construct water mains in the side streets of Hampton Street and Pawling Street, north of Hendrick Ave. For both streets, work will include the installation of new 8” water mains, hydrants, valves, and water services within the Village right-of-way and abandonment of the existing water main. This work was included as “Alternate” bid items when the project was advertised for construction in early 2025. Contractor pricing precluded this work from being performed under the available funding at that time. With the Village recently receiving a Congressional appropriation of $1.092 million, these two Alternates will now be added back into the project. Discussion followed.

The Clerk continued the discussion regarding the Village Website from the June 15, 2026, Board Meeting.

Village Input:
1. Under this proposal, Next Step Digital will continue to provide required technical maintenance and support for the website infrastructure, while Village staff will manage routine content updates after documentation and training have been provided.
a. Under this scenario, Village staff will be responsible for completing day-to-day content updates to the website after training has been completed. This may include routine updates such as text edits, document uploads, image changes, page edits, and similar content-related updates.
b. If Village staff requires assistance from Next Step Digital after training has been completed, support time will be billed separately in quarter-hour increments at Next Step Digital’s standard hourly rate of $100 per hour. This may include phone calls, email support, troubleshooting, guidance, or assistance with content updates.
c. The following costs are required regardless of whether Village staff handles content updates or Next Step Digital handles content updates:
Annual Firewall: $400
Annual Hosting: $600
Monthly Platform and Plugin Updates + Backups: $1,200 per year
Required Annual Total: 2,200
Time Setup Costs
The following one-time costs apply to this scenario:
WordPress Documentation: $700 one-time WordPress Training: $200
One-Time Total: $900
Total Cost Summary
First-Year Total: $3,100
Annual Cost After First Year: $2,200, plus any additional support requested by the Village and billed at the standard hourly rate.

Next Step Flat Rate:

Next Step establishes a quarterly website maintenance retainer for ongoing day-to-day content updates requested by the Village of Menands’ departments, along with the required website hosting, security, platform maintenance, and backup services to support the website. Under this proposal, Next Step Digital will manage routine content updates submitted by Village departments and provide required technical maintenance for the website infrastructure.

The content update retainer is structured as follows:
Monthly Value: $500
Quarterly Billing: $1,500, billed in advance at the start of each quarter Annual Total for Content Updates: $6,000
This retainer is intended for routine day-to-day website content updates requested by Village departments
Discussion followed. After a discussion, the Board decided to Table until next meeting.

Mayor’s Report:
1. Next meeting will be presenting new Welcome to Menands signs to replace the current signs.
2. The NYSTORE Grant is almost closed
3. Would like to get a survey of Village owned properties on Broadway in the north end of the Village.
4. Received the monies from the ADA Block Grant
5. Daughter of Chairty at 96 Menands Road is moving along.
6. The retention pond at the end of Upland is being worked on and the Village applying for a grant to cover the cost to complete the work.

Trustee Lane:
1. Spoke to Historian Kevin Frankin regarding the file of history of the Village that is stored at 250 Broadway. Kevin is not concerned about the files they are all backed up.

Trustee Neuman:
1. The Library spice of the month is Poppy Seeds

Harbour:
1. The School Board Meeting will be on Tuesday July 7, 2026.

Clerk’s Report:
1. Made a suggestion to present a Proclamation to Superintendent Jennifer Cannavo and the Menands School for all their help due to the fire at 250 Broadway and help during the search for the missing boy.

Treasurer’s Report:
1. The monies that was borrowed from the Sewer Fund has been repaid.
2. Most of the Tax Bills have been received.
3. Water and Sewer Bills have been sent out.

General Comments:

Resident Bill Garvey:
1. Bill would like to see the following projects done on Market Road
a. Pave Market Road
b. Post 25 MPH Signs
2. Attempted to remove the Graffiti on pole on Harts Lane
3. Advised the Village Office unable to remove the Graffiti and asked to have National Grid notified.
4. Bill donated cleaning supplies to DPW
5. Bill would like to thank Code Enforcement Officer Darmetko for enforcing the high grass.
6. Is honored to be the Official Grounds Keeper for the Menands Little League
7. Bill would like to see an ordinance requiring lawns to mowed
8. Is looking forward to donating money for trees for Ganser – Smith Park.
9. Bill would like to wood guardrails at 250 Broadway
10. IS sorry for the Firehouse fire but is happy no one got hurt
11. Bill saw a dead squirrel on N Lyons Ave and reported it
12. Late May observed Fire Hydrants with weeds. Weeds were removed.
